Consignor Agreement

Each time you consign with us, you will be asked to sign our consignor agreement:

 

[Your Name] (the “Consignor”) and Uptown Consignment LLC (the “Consignee”) (together the "Parties") for valuable consideration, hereby agree as follow: 

Section 1: Acceptance of Consigned Items  

  1. Consignor has provided items, which Consignor represents are in-season, clean, authentic, in like-new condition, and were purchased within the past 5 years, to Consignee for consignment sale. 

  2. Consignee will accept up to fifty (50) items per day from Consignor.  

  3. Consignee will evaluate Consignor’s items within the same business day as Consignor provides the items for consignment.  Consignee, in its sole discretion, will determine which items it will accept for consignment (“Consigned Item”).  Consignor must retrieve any items not selected for consignment by the end of the next business day (“Retrieval Period”).  A list of Consigned Items shall be provided by Consignee to Consignor. 

  4. By offering an item for consignment, Consignor represents and warranties that Consignor owns the item and has the right to offer the item for consignment.  

  5. Consignor represents and warranties that any designer item offered for consignment is authentic and not a reproduction or imitation.  

Section 2: Pricing and Sale of Consigned Items 

  1. Consigned Items will be priced in the sole discretion of Consignee.  

  2. Consignor and Consignee will share the sales price of Consigned Items sold as follows:

  1. Consigned Items with an original consignment price of $79.99 or less will be held for 60 calendar days from the date of this Agreement.  Consigned Items with an original consignment price of $80.00 or more will be held for 90 calendar days from the date of this Agreement.  Each the 60-calendar day period and the 90-calendar day period shall be a “Consignment Period.” 

  2. Consignee has the right, in its sole discretion, to hold periodic sales or to discount any Consigned Item, including, but not limited to, reducing the selling price of a Consigned Item by up to 50%, if it has not sold within 30 calendar days from the date of this Agreement. 

  3. A Consignor may retrieve an unsold Consigned Item within the last 10 calendar days of the applicable Consignment Period (“Pickup Period”).  Consignor shall be charged a $2.00 fee for each Consigned Item retrieved by Consignor prior to the Pickup Period.

Section 3: Payment for Sold Consigned Items 

  1. Consignor’s consignment account will be credited for Consignor’s share of the sales price (“Consignment Funds”) at the time of the sale (the "Date Earned").  Consignor may view Consigned Items and Consignor’s account balance by visiting www.uptownconsignment.com

  2. Consignor may apply any Consignment Funds as store credit towards purchases at Uptown Consignment.  Consignor will receive a 10% bonus of their store credit balance when using the credit available from Consignment Funds.

  3. Consignor may convert up to $50 of Consignment Funds to cash per day.  

  4. Consignor may receive a digital payout of Consignment Funds in any amount over $1.00 via a payment platform used by Consignee. All digital payouts will be subject to a $1.00 processing fee.  

  5. Consignor may receive payment of Consignment Funds by check for any amount over $50.  As of 9/1/24, each check will be subject to a $2.00 processing fee.  All stop payments will be subject to a $35 fee.  

  6. Consignment Funds not paid by means of cash, check, or digital payout will be converted to store credit one-year from the Date Earned.  

  7. Requests for payout by check or cash must be made Monday through Saturday.  

Section 4: General 

  1. Consignee does not accept any responsibility due to loss or damage of any Consigned Item. Any item, including any Consigned Item, remaining after the expiration of the Retrieval Period or Pickup Period, or determined, after acceptance as a Consigned Item to be unsaleable due to stain, tear, or other reason, will become property of the Consignee and may be discarded or donated without notice to Consignor.

  2. Consignee shall not provide reminders of timelines and shall not be responsible for Consignor’s failure to abide by any timeline or timeframe set forth herein for any reason, including but not limited to failure of Consignee’s website.

  3. Consignor agrees to indemnify and to hold Consignee, its successors, assigns, affiliates, agents, employees, directors, officers, members and shareholders, harmless from and against any and all claims, actions, damages, losses, liabilities and expenses (including Consignee's attorney’s fees and costs) related to the breach or claimed breach of any of Consignor’s obligations, representations, warranties, or responsibilities set forth in this Agreement. 

  4. This Agreement will be construed and enforced in accordance with and governed by the laws of the State of Connecticut and may not be amended unless in writing signed by both Parties. The headings in this Agreement are for reference only and shall not affect the Agreement’s interpretation.  Electronic signatures to this Agreement shall be considered original signatures.  

  5. If any term or provision of this Agreement is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
